Professor Li did something almost nobody in this debate does. He drafted actual terms, took the red pen from both sides, and revised. Speaking as a lawyer, his strongest section is the boring one about deadlines, cure periods and remedies for breach, because that's where every deal lives or dies. I wrote a whole book on why this wound never closed, and the answer comes down to the same point he's making: if you don't like the draft, send a better one.
